Welcome to GoPals. These Terms of Service are a legal agreement between you and Ekdutn Inc. covering your use of the GoPals website at gopals.app, the GoPals mobile apps, and everything we offer through them (together, the "Service"). By creating an account, or by using the Service at all, you agree to these Terms. If you do not agree, please do not use GoPals.

1. Who We Are

GoPals is a shared life-admin platform for groups: friends, families, teams, clubs, or anyone who does things together. It helps a group coordinate a pooled fund, expense splitting, activities, checklists, polls, a calendar, photos, notes, and announcements.

The Service is operated by Ekdutn Inc., a corporation incorporated under the Canada Business Corporations Act, with its registered office in Ontario, Canada. Ekdutn Inc. is a federal corporation and its registered office address is on the public register maintained by Corporations Canada, searchable at ised-isde.canada.ca. In these Terms, "GoPals," "we," "us," and "our" mean Ekdutn Inc. and no other person.

Your agreement is with Ekdutn Inc. alone. No director, officer, shareholder, employee, or contractor of Ekdutn Inc. is personally a party to these Terms or personally liable under them, and you agree not to bring a claim arising out of the Service against any of them personally. Nothing here limits any liability that cannot be limited by law.

2. Eligibility

You must be at least 16 years old to use GoPals. If you are under the age of majority where you live, you may only use GoPals with the involvement of a parent or legal guardian, who agrees to these Terms on your behalf and is responsible for your use.

You may not use GoPals if we have previously terminated or suspended your account, or if you are barred from using the Service under the laws that apply to you. You confirm that you are not located in, and not ordinarily resident in, a country subject to comprehensive Canadian sanctions, and that you are not a person with whom Canadian persons are prohibited from dealing.

3. Accounts

You create an account by signing in with Google or Apple. We do not offer password or email sign-up, and we never see or store a password for you. You are responsible for keeping your Google or Apple account secure and for everything that happens under your GoPals account, including anything done by someone you let use your device.

One person, one account. You may not create an account for anyone else, share your account, sell or transfer it, create accounts by automated means, or create a new account to get around a suspension.

You agree to give accurate information in your profile and in anything you enter on behalf of a group, and to keep it current. If you lose access to the Google or Apple account you signed in with, we may not be able to recover your GoPals account for you.

Anyone can sign up for GoPals. We may, at our discretion, refuse to create an account, or close one, without being required to give a reason.

4. Groups and Admins

Anyone can create a group and becomes its first admin. Admins can invite members, promote co-admins, manage group settings, remove members, and delete the group. A group can never be left without at least one admin: if you are the only one, you must promote someone else before you can leave or step down. Any member can leave a group they belong to on their own, at any time.

Groups are private by default. Their content is visible only to their members, and is isolated at the database level so that a group you are not a member of cannot read your group's data.

A group's admins control that group. They decide who joins, who stays, and what the group's shared records say. We are not a party to whatever arrangement exists between a group's members, and we do not resolve disagreements between them. If an admin removes you or deletes a group, we are not responsible for the loss of access to content in it, including content you contributed. Export anything you want to keep.

5. Limits, Fair Use, and Anti-Abuse

To keep GoPals working for everyone and to make large-scale abuse impractical, we apply limits to accounts and groups. As of the date of these Terms these include a cap on how many groups an account can create per day, a cap on how many groups an account can hold that have no other member and no pending invite, caps on photo uploads, invitations, and announcements per group per day, and a cap on members per group.

We may add, remove, or change any limit at any time, with or without notice, and we may apply different limits to different accounts. Attempting to work around a limit, including by using multiple accounts, is a breach of these Terms.

6. Acceptable Use

GoPals is for coordinating real groups of real people. You agree not to use it, and not to let anyone use your account, to do any of the following.

Illegal activity. You may not use GoPals for anything unlawful under the laws that apply to you or to us, or to plan, coordinate, fund, facilitate, or keep records for any criminal activity. That includes trafficking in drugs, weapons, wildlife, stolen goods, or people; organising violence; and any activity that would make a group's pool or expense records a ledger of the proceeds of crime.

Child safety. We have zero tolerance for child sexual abuse and exploitation. You may not upload, share, request, or link to child sexual abuse material or any sexualised depiction of a minor, or use GoPals to groom, solicit, or endanger a child in any way. We will remove such content, permanently terminate the accounts involved without notice, preserve the relevant records, and report to law enforcement and to the relevant authority as required or permitted by law.

Harm to people. You may not harass, bully, stalk, threaten, or intimidate anyone; incite violence or self-harm; publish someone's private information without their consent; post hate speech or content attacking people on the basis of race, ethnicity, national origin, religion, disability, sex, gender identity, sexual orientation, age, or any other protected ground; or post sexually explicit content, gratuitous violence, or content that sexualises anyone.

Money and deception. You may not use GoPals to run a scam, a pyramid or Ponzi scheme, a fraudulent fundraiser, or a fake charity; to launder money or disguise the source of funds; to solicit contributions to a pool you do not intend to use as described; or to impersonate any person, group, business, or organisation, including us.

Spam and misuse of the platform. You may not send unsolicited bulk messages, invitations, or announcements; use groups or public pages primarily to advertise, promote a business, generate backlinks, or manipulate search rankings; create groups you do not intend to use; or use GoPals to build a mailing list or harvest contact details.

Technical abuse. You may not scrape, crawl, harvest, or copy the Service or its data by automated means; access the Service other than through the interfaces we provide; probe, scan, or test the security of the Service or try to bypass its access controls, rate limits, or database security; upload malware or anything designed to disrupt or damage; reverse engineer, decompile, or copy any part of the Service except to the extent that restriction is unenforceable by law; or place an unreasonable load on our infrastructure.

Rights of others. You may not upload or share anything you do not have the right to share, or that infringes anyone's copyright, trademark, privacy, publicity, confidentiality, or other rights.

You also agree not to help anyone else do any of the above.

7. Content, Reporting, and What We Do and Do Not Monitor

We do not routinely monitor, review, read, or scan the content inside private groups, and we do not use it to train any machine learning or AI system. Your group's data is isolated at the database level. What we do review is content you ask us to publish on a public page, and content that someone reports to us.

You are responsible for the content you post. We are not, and we do not endorse it, verify it, or take responsibility for it. Other members' content is theirs, and we make no promise that it is accurate, lawful, or safe.

Reporting and blocking. GoPals gives you a way to report content or a member from inside the app, and a way to block another member so they cannot interact with you. Anyone, including people who do not use GoPals, can also report content to us at abuse@gopals.app. We review reports and act on them as quickly as we reasonably can, which may mean removing the content, removing the member from the group, or suspending or terminating the account. Where we restrict or remove your content, or suspend or terminate your account, we will tell you and give the reason, unless the law prevents us or telling you would put someone at risk.

What we reserve. We have no obligation to monitor content, but we reserve the right to access, review, retain, and remove any content, and to investigate any account, at any time and without notice, where we reasonably believe it is necessary to operate or secure the Service, to comply with a law or valid legal process, to enforce these Terms, or to protect the rights or safety of anyone. Choosing to act in one case does not oblige us to act in another, and does not make us responsible for content we did not review.

Nothing in this section makes us the author, publisher, or editor of anything a user posts.

8. Money Features

GoPals tracks who contributed what and who owes what within a group's shared pool and expenses. It does not process, hold, transfer, or transmit real money at any point. Any actual payment between members happens directly between them, outside the platform, however they choose. GoPals is not a bank, a payment processor, a money services business, a money transmitter, an escrow agent, or a financial institution, and holds no client funds.

Everything in GoPals' pool, expense, split, and settlement features is a record, entered by members, of what those members say happened. We do not verify it. We do not guarantee that a balance is correct, that a contribution was actually made, or that anyone will actually pay anyone.

Disputes about money between members of a group, including who owes what, whether someone paid, how an expense should be split, and what a group's funds are spent on, are entirely between those members. We do not mediate, adjudicate, arbitrate, reverse, adjust, or enforce them, and we are not liable for any of them. Do not treat GoPals records as legal, accounting, or tax advice, and do not rely on them as evidence of a payment.

You are responsible for any tax, reporting, or regulatory obligation that arises from what you and your group actually do with money. If a group's activity requires a licence, registration, or charitable status where it operates, that is the group's responsibility, not ours.

9. Public Group Pages

A group's admin can ask us to publish a public page for the group at a gopals.app address. Publication is a privilege we grant at our discretion, not a right, and not something an admin can switch on alone.

Anything on a public page is visible to anyone on the internet, including people who are not signed in, and may be indexed by search engines, cached, archived, and copied by people we do not control. Once it is public we cannot make it un-public everywhere. Publish only what you are content to have seen by anyone, forever, and make sure every member whose name, photo, or information appears has agreed to it.

10. Your Content and the Licence You Give Us

You keep ownership of everything you add to GoPals: photos, notes, checklist items, polls, announcements, expense entries, and the rest ("Your Content").

To run the Service, we need permission to handle Your Content. You grant us a worldwide, non-exclusive, royalty-free, sublicensable (only to the service providers listed in our Privacy Policy, and only so they can provide their service to us) licence to host, store, back up, reproduce, transmit, resize, re-encode, and display Your Content, solely for the purpose of operating, securing, and improving the Service and making Your Content available to the people you shared it with. This licence lasts only as long as we hold the content, and it ends when the content is deleted, except for copies retained in routine backups for a limited period and any copy we must keep by law.

If you or a group's admin choose to publish content on a public group page, you also grant us a licence to display and distribute that content publicly, and to allow it to be indexed, for as long as the page is published. Content that has been public may remain in third-party caches and archives after unpublication, and we cannot control that.

You confirm that you have all the rights needed to grant these licences, including permission from anyone appearing in a photo you upload, and that Your Content does not breach these Terms or anyone's rights.

We do not claim ownership of Your Content, we do not sell it, and we do not use private group content to train machine learning or AI models.

11. Feedback

If you send us ideas, suggestions, bug reports, or feature requests, you assign them to us, and to the extent an assignment is not effective you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use them for any purpose, with no obligation to compensate you or credit you. Please do not send us anything you consider confidential.

12. Our Intellectual Property

The GoPals name, logo, brand, software, source code, design, user interface, text, graphics, structure, and the compilation, selection, arrangement, and organisation of the data in the Service are owned by Ekdutn Inc. or our licensors, and are protected by copyright, trademark, and other laws, including database rights where those exist.

We grant you a personal, limited, revocable, non-exclusive, non-transferable licence to use the Service as it is intended to be used, for as long as you comply with these Terms. That is all. You get no other rights, express or implied, and you may not use our name, logo, or brand without our written permission.

13. Copyright Complaints and Takedown

If you believe content on GoPals infringes your copyright, email copyright@gopals.app with: your contact details; a description of the work you say is infringed; the location of the content on GoPals, with enough detail for us to find it; a statement that you believe in good faith that the use is not authorised by the rights holder or the law; a statement that the information in your notice is accurate and that you are the rights holder or authorised to act for them; and your physical or electronic signature.

Where a notice is complete, we will act on it and let the person who posted the content know. If your content was removed and you believe that was a mistake, you can send a counter-notice to the same address, giving your contact details, identifying the content and where it was, and stating that you believe in good faith it was removed by mistake. We may restore the content after a reasonable period unless the complainant tells us they have started legal proceedings.

We terminate the accounts of repeat infringers.

14. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please read it: it explains what we collect, who can see your group's content, and what we do not do with it.

15. Third-Party Services

GoPals depends on services we do not control, including Supabase for our database, authentication, and file storage, Cloudflare for hosting and email routing, Google and Apple for sign-in, and an email provider for transactional email. Your use of Google or Apple sign-in is also governed by their own terms. We are not responsible for a third party's acts, omissions, outages, changes, or security failures, and if one of them stops offering something we rely on, features may change or disappear.

16. Fees

GoPals is currently free to use. We may introduce paid features or subscriptions in future. If we do, we will give reasonable advance notice, and we will not start charging you for something you already use without giving you the chance to opt out first. Any paid feature will have its own pricing and billing terms at the time, which will form part of these Terms.

17. Suspension and Termination

You can stop using GoPals whenever you like, and you can delete your account yourself at any time from your Member Profile. See Delete Your Account for exactly what happens.

We may suspend or terminate your account, restrict your access to any feature, remove any content, unpublish any public page, or delete any group, at our sole discretion, with or without notice, and with or without cause. Where we do, we will tell you what we did and why, unless the law prevents us or telling you would help someone evade us or put someone at risk. We are not liable to you or anyone else for taking these steps.

Reasons we are likely to act without advance notice include a breach of section 6, a risk to another user's safety, fraud, a legal requirement, or conduct that puts the Service or our infrastructure at risk.

What happens to data. If you delete your own account, your personal information is removed and your shared group history is re-attributed to "Former member," as described on our Delete Your Account page. If we terminate your account, we may do the same, or where we believe it is necessary for safety, security, or a legal obligation, we may retain records for as long as is necessary for that purpose. If a group is deleted by its admins or by us, that group's content may be permanently deleted for everyone in it. Deleted data may persist in routine encrypted backups for a limited period before those backups age out.

There is no recovery window and no undelete. If you want a copy of anything, export it before you or anyone else deletes it. We are not obliged to keep, retrieve, or hand over content after an account or group is deleted.

Sections that by their nature should survive do survive termination, including sections 8, 10, 11, 12, 19, 20, 21, 22, 23, and 28.

18. Changes to the Service

GoPals is early software and is still being built. We may change, add, remove, or discontinue any part of the Service, temporarily or permanently, at any time, without liability to you. We do not promise any level of availability, uptime, response time, support, or data durability, and there is no service level agreement.

19. Disclaimer of Warranties

GoPals is provided "as is" and "as available," with all faults, and without warranty of any kind. To the fullest extent permitted by law we disclaim all warranties, conditions, and representations, express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, quiet enjoyment, accuracy, and non-infringement.

We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, that defects will be corrected, that any data will never be lost or corrupted, or that any content on it is accurate, lawful, or safe. You use GoPals at your own risk, and you are responsible for keeping your own copies of anything you cannot afford to lose.

We do not vet, screen, or verify our users. Anyone you meet, coordinate with, travel with, or hand money to through GoPals is your own responsibility, and we make no representation about them.

Some jurisdictions do not allow the exclusion of certain warranties or conditions, so some of the above may not apply to you. In that case, our warranties are limited to the minimum extent permitted by that law.

20. Limitation of Liability

To the fullest extent permitted by law, Ekdutn Inc. and its directors, officers, shareholders, employees, contractors, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, business, opportunity, or data, or the cost of substitute services, arising out of or relating to the Service or these Terms, however caused and on any theory of liability, even if we have been advised that such damages are possible.

We are also not liable for anything arising from content posted by other users, conduct of other users whether online or in person, disputes between members of a group including disputes about money, the acts or omissions of a group's admins, or a failure by anyone to pay anyone.

To the fullest extent permitted by law, our total aggregate liability for all claims arising out of or relating to the Service or these Terms is limited to the greater of (a) the total amount you paid us for the Service in the 12 months before the event giving rise to the claim, and (b) CAD $100.

Nothing in these Terms excludes or limits liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be excluded or limited under the law that applies to you. Some jurisdictions do not allow the exclusion or limitation of certain damages, so parts of this section may not apply to you, and where a limit is unenforceable our liability is limited to the smallest amount permitted by that law.

These limits apply even if a limited remedy fails of its essential purpose, and they reflect a reasonable allocation of risk given that GoPals is provided free of charge.

21. Indemnification

You agree to defend, indemnify, and hold harmless Ekdutn Inc. and its directors, officers, shareholders, employees, and contractors from and against any claim, demand, action, proceeding, loss, liability, damage, fine, penalty, cost, or expense, including reasonable legal fees, arising out of or relating to your use of the Service, Your Content, anything published on a public page for a group you administer, your breach of these Terms, your violation of any law, or your violation of anyone else's rights.

We may, at our own expense, take over the exclusive defence and control of any matter you would otherwise indemnify us for, and if we do, you agree to cooperate with us.

22. Resolving Disputes

If something goes wrong between you and us, we would genuinely rather sort it out directly. Email hello@gopals.app with a description of the problem and what you would like us to do. We will make a good-faith effort to resolve it. Both of us agree to try this informal route for at least 30 days before starting formal proceedings.

Any claim you bring must be brought within one year after it arose, or it is permanently barred, except where a longer period is required by law that cannot be varied by agreement.

23. Governing Law and Venue

These Terms and any dispute arising out of them or the Service are governed by the laws of the Province of Ontario and the federal laws of Canada that apply in Ontario, without regard to conflict of law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

You and we agree that the courts of the Province of Ontario have exclusive jurisdiction over any dispute, and each of us submits to that venue and waives any objection to it on grounds of inconvenient forum.

If you are a consumer, this section does not take away any right you have under the mandatory consumer protection law of the country or province where you live, including any right to bring proceedings in your local courts or to have your local law apply where that law says it must. Where a mandatory local rule conflicts with this section, that rule wins for you.

24. Apple and Google App Stores

If you downloaded a GoPals app from the Apple App Store or Google Play, you also agree to the store's own terms, and the following applies.

Questions, complaints, or claims about the app can be sent to hello@gopals.app. If you need to serve a formal legal notice by post, email legal@gopals.app and we will provide the postal address for service; it is also on the public Corporations Canada register.

25. Users in the European Union and United Kingdom

Our point of contact for users, including anyone who wants to report content to us, is abuse@gopals.app, which is read by a person and not only by automated tools. Our point of contact for authorities is legal@gopals.app. We can be contacted in English.

Section 7 describes how we moderate content, which reports we act on, and how we decide. Where we remove content or restrict an account, we tell the person affected and give a reason, and they can reply to that message to challenge the decision.

26. Force Majeure

We are not liable for any failure or delay caused by events beyond our reasonable control, including outages or changes at our infrastructure providers such as Supabase, Cloudflare, Google, or Apple, internet or network failures, cyber attacks, power failures, natural disasters, epidemics, war, civil unrest, labour disputes, or acts of government.

27. Assignment

You may not assign or transfer these Terms or your account to anyone else, and any attempt to do so is void. We may assign these Terms, in whole or in part, to an affiliate or in connection with a merger, acquisition, reorganisation, or sale of all or substantially all of our assets, and we will let you know if we do.

28. General

Severability. If any part of these Terms is found unenforceable, that part is limited or removed to the minimum extent necessary, and the rest stays in full effect.

No waiver. If we do not enforce a provision, that is not a waiver of it, and it does not stop us enforcing it later.

No agency. Nothing here creates a partnership, joint venture, employment, or agency relationship between you and us.

Third parties. Except as stated in sections 1, 21, and 24, no one other than you and us has any right to enforce these Terms.

Entire agreement. These Terms, together with the Privacy Policy and any terms we present for a specific feature, are the entire agreement between you and us about the Service.

Notices. We may give you notice by email to the address linked to your account, or by posting in the app or on this site. You give us notice by emailing hello@gopals.app.

Language. These Terms are drafted in English, and the English version governs.

29. Changes to These Terms

We may update these Terms from time to time, for example when we add a feature, change how something works, or need to reflect a legal requirement. We will update the date at the top of this page, and for material changes we will give you reasonable notice in advance, by email or in the app, before they take effect.

If you keep using GoPals after a change takes effect, you accept the revised Terms. If you do not accept them, stop using GoPals and delete your account. Changes do not apply retroactively to a dispute that arose before they took effect.
